Contracts and Agreements

In addition to processing all external grant proposals, ORSP manages other types of contracts and agreements related to research, scholarly activities, and projects. Many names can be used to refer to these documents, including agreement, letter of understanding, memorandum of agreement, and contract. No matter the name, these documents create legal commitments between the university (on behalf of faculty/staff/students) and an outside party. Contact ORSP for support or additional information.

Data Transfer and Use Agreements

A Data Transfer and Use Agreement is used to gain access to data sets owned by another party.

These agreements specify what data will be shared, the allowed purposes/uses of the data, and allowable use of results/products based on the data. An important consideration for university researchers is the right to publish research resulting from the data.

ORSP reviews and negotiates DTUAs on behalf of university faculty, staff, and students. ORSP will secure a signature from the properly authorized university official. Faculty also sign the DTUA and ensure any participating students abide by the terms. 

Non-Disclosure Agreements

A Non-Disclosure Agreement is a contract between parties that plan to share confidential information. These agreements are sometimes referred to as Confidentiality Agreements. 

Why are NDAs important?

These agreements protect the confidentiality of proprietary information. They clarify the nature and allowable use of confidential information. NDAs are used when confidential information is shared by an outside party with the university or vice versa.

ORSP reviews and negotiates these agreements on behalf of university faculty, staff, and students. ORSP will secure a signature from the properly authorized university official. Faculty also sign the NDA and secure signatures from any students who will have access to the confidential information. 

Material Transfer Agreements 

What is an MTA?
What is an MTA?

A Material Transfer Agreement is used when sending or receiving physical materials. Examples can include biological samples, cultures, and chemicals. Three types of MTAs are most common at academic institutions: transfer between academic or research institutions, transfer from university to industry, and transfer from industry to university.

MTAs clarify rights and restrictions for both the providing and receiving parties. Important considerations for university researchers include rights to inventions resulting from use of the materials and rights to publish research resulting from use of the materials. Another essential factor is the safety of materials. If the material being transferred poses a safety risk, ORSP will refer to the Biological Safety Officer for additional review.
